PanAmerican BanCorp Acquires Access Wall Street

NEW YORK--(BUSINESS WIRE)--June 24, 1998--PanAmerican BanCorp/Purewater (NASDAQ: OTC:PRWT) announced today the acquisition of Access Wall Street, a firm that provides state-of-the-art securities trading for investors.

The newly acquired company offers an all inclusive system that provides Level II market maker and exchange data, real-time quotes, news, charts, historical data, portfolio management and an extremely fast order execution system enabling investors by means of ECNs (Electronic Communications Network) to post bids and offers that are displayed throughout the financial community. The system provides for immediate execution on the NASDAQ as well as other listed exchanges rather than routing orders to third party intermediaries. This enables trade execution and confirmation of orders in a matter of seconds. Additionally, it provides the individual investor the ability to execute trades between the spread, achieving further savings over most currently available trading systems.

Originally developed to handle high-end, large volume trading and/or institutional stock traders, today, this innovative system can be accessed via the Internet as well as through Local and Wide Area Networks, and is the most enhanced application of its type offered over the Internet. The company is dedicated to bringing the most technologically advanced trading system to the individual investor and expects substantial growth in the near future.

PanAmerican BanCorp/Purewater (PRWT) has acquired Access Wall Street in exchange for already-issued shares of the company so there is no dilution of PRWT shares. Access Wall Street is projected to add about $1.5 million in monthly revenues to PRWT or an additional $18 million a year. Net income is projected at $6 million a year. Look for further strategic alliances and acquisitions shortly.

Except for historical information, the matters discussed in this news release may be considered "forward looking" statements, within the meaning of Section 27A of the Securities Act of 1933, as amended, and section 21E of the Securities Exchange Act of 1934, as amended. We are PRISTINE DEVELOPMENT ENTERPRISES LTD (PDEL), and are not part of
PanAmerican Bancorp or Affordable Housing Group (AHG).

Our contribution to this project is that we are the land owners and
developer. (www.belize/pristine.com)

As far as we know:
Affordable Housing Group is going ahead with their models (the home
manufacturer was here in Belize, on the property, two weeks ago in
discussions with the contractor).
PanAm Bancorp/AHG is planning on financing the above homes.

To us, this is a very good project as it will be fullfilling a need. It's
hard to see anything going wrong with it if handled properly. We at PDEL
are presently waiting for the homes to arrive in Belize in order for us to
start erecting.

Thanks

Giovanni Smith

President PDEL

The text of the Belize Government release from the Ministry of Home Affairs and Housing. I am repeating a more precise link that Buster gave earlier along with the text, in case it becomes dated and removed from their site.

belize.gov.bz

BELMOPAN, 16 July, 1998. -(BIS)- It has come to the notice of the Ministry of Home Affairs and Housing that a certain foreign company by the name of `PAN AMERICAN BAN CORPORATION' is advertising on the internet that it is in the process of conducting mortgage banking in Belize through its wholly-owned subsidiary "Affordable Housing Group Ltd".

A press release from the company further states that it has already received some six thousand mortgage applications from Belizean citizens and that the Government of Belize has guaranteed these mortgages.

The Ministry of Home Affairs and Housing wishes to inform the public that the Government of Belize is in no way associated with this company nor has it given the company any mortgage guarantees. While the Government of Belize welcomes foreign investment, it will give its official approval to an investment project only after it has satisfied itself of the viability and genuineness of the project.

The Ministry is not aware of any mortgage applications being processed by this company nor of any licence having been issued to the company by the Central Bank of Belize to conduct mortgage banking.

Members of the public are therefore advised to exercise due prudence and diligence before making any investment with this company.
