It seems to me that the directors and management of TLAB would have to be cautious in deciding whether to proceed with the deal at this time, given the apparent disparity in value between CIEN and TLAB. At the least they might want to get their investment bankers to confirm their "fair value" opinion, and the latter might in the circumstances not be willing to do this. Buying CIEN as a means of getting TLAB may not be a riskless arbitrage, IMO.
