q2 ending 30 June 1998.

"SoftQuad International Inc. (''SoftQuad'' or the ''Company'') (NASDAQ:SWEBF - news; TSE:SKI - news) today announced consolidated results for the second quarter ended June 30, 1998. For the three months ended June 30, 1998, the Company recorded sales of $2.5 million, which represents a 55% decrease from the $5.5 million achieved in the comparable period last year. Year to date sales amounted to $6.5 million as compared to $10.9 million for the previous year, representing a 40% decrease in year to date sales. The sales decline is largely due to minimal sales of voice products from the Alpha Software subsidiary and soft corporate sales at SoftQuad Inc., the companies structured document and web-tools subsidiary.*

In accordance with Canadian GAAP, the net loss for the quarter ended June 30, 1998, amounted to $4.0 million or 31 cents per share, as compared to a net loss of $8.6 million or 66 cents per share for the comparable quarter last year. Under U.S. GAAP, the net loss for the quarter ended June 30, 1998, was $5.3 million or 40 cents per share, as compared to a net loss of $2.7 million or 21 cents per share for the comparable quarter last year..."

*actually, the sales decline was due to SWEBFs failure to simply replace the Kurzweil voice-rec product line with a comparable product line(.)...This excuse was possibly valid for SWEBFs q4 '97 release but the handwriting was on the wall/the strong signal was sent early on when LHSPF acquired Kurzweil and pursuant to the subsequently related transaction when MSFT invested in LHSPF...it is unfortunate management felt it necessary to resort to double-talk/newspeak and not call a spade a spade...furthermore the sales decline was also proximate cause of a completely [avoidable] failed and alleged criminally negligent management of SoftQuad (HoTMetaL) Inc...and lastly attributable to Alpha's consistent quarterly releases/concomitant cash burn of misguided product releases/pursuits...to the Rabins credit NewKidCo appears to be what may replace and exceed voice-rec revenues...however, we assiduously contend that SoftQuad is staring an equally prodigious/blockbuster revenue source in the face with ONLINE merchant onlinemerchant.com [conspicuously absent from said q2 release]...dump SoftQuad, Inc...dump Alpha except ONLINE merchant...build cash warchest to fund NewKidCo and ONLINE merchant and future equally attractive business units...(.)

this is explicitly addressed by Richard Rabins in said q2 release you posted...TSE listing will be maintained and it will also trade OTC BB...however, in the event of a NASDAQ delisting SWEBF will then become a SEC Rule 15c2-6 security, wherein, it may no longer be solicited for sale by any NASD governed stockbroker...i.e. any/all purchases must be unsolicited...specifically requested by the purchaser unless accompanied by substantive signed SEC paperwork supplied by the broker...effectively ending SWEBFs trading market in the U.S....management's previous representation to esecurities that they would reapply for NASDAQ NMS status immediately upon qualification pursuant to projected q4 revenues/profitability was also conspicuously absent from said q2 release...
