Hi Frank,

Let me first say that I understand your frustration.

To use a metaphor, the glass ("half empty, half full") looks different to me ("half full") for a variety of reasons, an important one being that my entry price point is well below $2. That makes waiting easier for me than it does for others who have price points much higher. It doesn't make me complacent, however.

Your statement:

I haven't seen any evidence of this. In addition, their HQ is modest and well located. Every person I have met at ACTV has been hardworking, sincere, conscientious, and very intelligent.

I agree that the cable companies have their own timelines and "we cannot move off of dead center until they throw the switch."

Frank, from your prior posts, I see that you are a thoughtful person who keeps himself informed. When I see your posts, I pay attention. I greatly hesitate to offer advice, but perhaps a look at the fundamentals, the alliances, the patents, a conversation or a visit to HQ with someone in management might help with perspective and balance.

I simply cannot blame the stock or the company at this point for my investment's performance. Obviously it is easier for me to be pleased with the stock's appreciation of these last four or five weeks, but it is true that my investment in ACTV has tied up capital which, for the most part, has been in wait mode. But my decision to accumulate and hold is my decision. If it doesn't perform to my expectations, well, I made a bad decision.

My experience with ACTV reveals hardworking people doing an excellent job with the resources and connections available to them, which in many ways are exceptional.

I have an open mind, however, and I will look at facts contrary to my views expressed above. Whoever reads this post, please, don't rehash the history of financings, shares outstanding, and losses: I fully understand their extent and the ramifications.

Well...I'll take the six months and BTW I'll happily take $15 or $20 per share.

In closing, I want to say once again, your frustration is understandable.

There's no question that there are a lot of frustrated people holding this stock. With all due respect, I think there are other conclusions possible given the information available.

Point number one: Other than the usual rumors that one gets in situations like this, nobody in management can or will confirm anything about talks with TCI. My view therefore is that whatever agreements may be forthcoming will be very significant and more far-reaching than we can imagine. This might explain why nobody in Texas knows anything about ACTV. This is probably a " need to know " situation.

Point number two: We are not missing the first part of the digital wave. We are just now starting to get good numbers of set top boxes out in the field now. The first primitive applications are being trotted out ( Wink, etc. ). In my mind we are the " killer app " for digital TV. The seamless change of video for sporting events pales in comparison to the application of that same technology for game shows, advertising, electronic commerce, etc. We are also the only application that has memory to allow for demographically-targeted advertising and effective electronic commerce.

Content is king. If you read the articles by John Malone you can come to the conclusion that Liberty Media plans on using the video expertise and memory of ACTV to produce the Digital Children of Fox Sports Net, HSN, QVC, The Game Show Network, and advertising in general. That will revolutionize TV. I believe that Liberty Media will likely use our technology across their entire programming base.

In addition to all of the above, the two internet patents that were just awarded to ACTV will not only lock up our educational product, but will also enhance our " individualized TV programming ". This is the company that will converge the TV with the PC.

Point number there: I see no evidence that management has anything but the interest of the shareholders in mind. They own stock and have stock options that tie their personal interests closely with ours. I have , like Ed Doell, found them to be honest and intelligent and hard-working.

Frank, I'm sure that you feel like Tantalus from Greek mythology. Everything is so close but you can't drink the water and you can't eat the fruit. Hang in there buddy.
