"I personally think even the SEC filing can be another negative impact on the existing share price if the terms on the IPO confirms to the market that the only rationale behind the IPO is to raise more money for the company."

I thought that the purpose of all IPO's is to raise money for the company doing the IPO. The same should be true for this IPO as well. The whole point of this IPO, in my opinion, is to unlock the latent potential and value of the EN division, and used the realized value to reward the shareholders, finance growth of the new company, and reduce the obligations (convertibles) as well as that of Osicom (GigaMux). And I am quite sure that prospectus make this clear.

The share holders will win in two ways from this IPO. One through the exercise of their rights (either sold or converted into the shares of the company) and through the appreciation of Osicom stock.

The new company is an "Internet" play. The market is just beginning to realize the potential of internet. The timing of this IPO could not have been more perfect. Only thing that can make it better for shareholders will be some large GigaMux orders and NMS listing before the actual IPO. And, there is a good possibility of that happening. This baby will make some of us very very happy.

I wish you the best what ever position you will take.
