Just to reiterate a few facts from various sources, mostly the press releases on press release board and the 10-12 registration statement on the freeedgar site: Total o/s shares per Companies internally prepared Financial statements (f/s) as of 12/31/97 and released on 2/24/98 was 10,990,000. Total o/s shares per audited f/s as of 12/31/97 released 5/20/98 was 6,869,500. Total o/s shares per 10-12 registration statement dated 6/01/98 and released 6/01/98 was 12,712,200. Per registration statement, on 5/16/98 public offering 5,452,657 are "freely traded" and 16,076,750 shares are "subject to restriction". If 21,529,607 were o/s 6/01/98, and only 5,452,657 were publicly sold, that leaves 16,076,950 privately held. That means 9,207,450 were issued between 12/31/97 and 6/01/98. According to registration statement, the Company has NO stock options or purchase agreements. Who got these shares? Reading all press releases available, cannot find any acquisitions wherein shares were issued, except for one which said Mr. Logan "assigned" his 250,000 shares. If 9,000,000+ were issued for an acquisition, wouldn't this be MATERIAL and warrant disclosure? IMO, it surely would.
