EDII's Entertainment Division

Electronic Pictures Corporation, EDII's latest acquisition, in cooperation with Cinema Research Corporation and others specializes in high definition (HD) television programs. HD is one of the key elements of the new digital television standard mandated by the Federal Communications Commission in April 1997. Major television networks will commence HD broadcasts in December of this year and all broadcasters must be fully converted to HD by 2006. Major cable companies will also switch to HD and manufacturers have begun the
production of HD television sets that will be on the US market in December.

Electronic Pictures Corporation has submitted seven high definition
documentary proposals to and is in the process of developing several
additional proposals for submission to NHK Television (Japan's public
broadcasting system and the world's largest broadcasting entity). NHK
consists of five television networks with a worldwide staff of over 15,000 and an annual operating budget of over six billion dollars and has broadcast in HD for over seven years. Electronic Pictures Corporation is also engaged in a joint project to re-shoot hundreds of documentaries in HD at a cost significantly lower than the original programs were made, there by allowing the programs to be sold at lower-that-market prices to NHK and otherJapanese HD
networks.

Several additional prime candidates have been identified for
acquisition byAmerican International's entertainment division. These companies specialize in full-service HD, high-quality commercials and programs as well as documentaries.
