The combined strength of all three companies will be bundled to introduce and adapt IBM's speech technologies into
voice controlled innovative software solutions enabling new user groups to benefit from utilizing hands-free, and mobile
wearable Computer technologies. The partners will benefit from establishing this competence center in their specific
fields of interest and core competencies. This is a further step in promoting innovative, speech controlled customer
solutions initially announced by IBM's Speech Market Segment and Xybernaut Corp. for PC-Expo in New York on June,
15 1998.

IBM's Dagmar Holtmann, Director of the European Industry Solution Laboratory Stuttgart stated: ''The technological
drive of computers everywhere is changing the world. This cooperation which merges two technologies - wearable
computing and speech recognition - is a comer stone for providing new advanced application solutions. It is opening up a
new horizon for e-business.'' And Wolfgang Karbstein, Manager of IBM speech Business Unit Germany, Austria and
Switzerland, concludes: ''Xybernaut's Mobile Assistant(R) is a great complement to IBM's Via Voice speech
technology, offering customers tremendous opportunities for productivity gains. It really meets the need of customers
who want remote computing in a hands-free environment.

Xybernaut Corporation will provide its new MA IV with its 233 MHz MMX technology up to 128 MB memory and 4
GB hard drive all packaged into a small 750 grams standard WINTEL, belt-worn module. It lets mobile users participate
in information sharing and exchange by integrating them into corporate and public information networks. Xybernaut's

include the large group of mobile users. Seamless integration of the above mentioned technologies and concepts is key to
rapid acceptance.''

bases of its already existing cooperation agreement with Xybernaut Corp., signed and announced on June 6, 1997. Dr.

saying: ''Utilizing advanced speech technologies and wearable computing as pivots for developing process-oriented
speech controlled software solutions allows us to provide to customers new levels of productivity in industries such as
Manufacturing, Process, Distribution, Health and Government.''

Benefiting from this hardware and software technology will bring applications to the front end, offering new levels of
collaboration between persons at the point of work with professionals at home, in a center of competence, or simply with
information management systems. With the envisioned downward trend for hardware prices, this will shape the image
and operation of industries significantly.
