Supposedly that filing has not been made affective by the SEC. (that is meaningless to me but Osicom has said that they can't convert until this happens and it hasn't happened yet.)

The S-3 was filed on July 13, 98. Considering the processing speed by SEC, it will take atleast 2-3 months before CSFB shares could actually be registered.

I am sure, you know that the filing alone does not cause the registration.
