There has to be an inexpensive way to do the proxy.
I think MIDL is afraid that we would pull a CVIA on their butts and take the company shell right out from under them. All we have to do is vote 51% of the issued and outstanding stock for a new slate of directors and a stop on the conversion -- done deal.
Also, if we could consolidate 51% of the issued and outstanding shares into some kind of partnership arrangement, we can also take over the shell. There are ways to make things happen without the company's support.
I know the private investor who is now on the board of directors of CVIA quite well. He is here on SI and did exactly what I have suggested to others in the past. He bought up a bunch of stock and took them to court. Though I do not know his exact intentions I know he would like to get his 51% and throw the jerks out on their ears.
It can be done and I suspect that most of us together own close to that figure. The problem will be the DF shares -- are they in the market or not and if so who owns that much? The largest "P" shareholder I know of has close to 20K pre-split if I am not mistaken. I have a bit over 50% of that figure myself and I am not in second place. If I am not mistaken a group of some sort has 90K -- they would be an important part of any of this.
MY POINT IS...
We must stop this conversion or we will all lose IMO -- shipping company or not.
Do we need to take over the company? Maybe, maybe not. But that conversion will turn this company into another plain old shell. I can buy a 20,000,000 share authorized shell for $60,000 and 10%. I have a lot more than that into this one...
I am certainly ot being negative -- I just want people to start thinking really hard about this conversion -- not too far away. No one wants super-dilution.
