Jon, We all Know that a reverse split would have adverse effect on all the shareholders however If the price does not get up to the nasdaq price level then we are not going to see a large enough demand on the 60 to 65 million shares. The other problem is going to be Earnings per share 0ver that many shares. If we could do a 25/1 split and get the price up to $6.00 a share. Minimum shares to show a High per share earnings. Don't encourage a split if we can't get nasdaq listed. Its gotta hurt.
The other thing that we need is to know that our capitalization is complete. If it isn't then we need to incorporate it into the restructuring if possible.

MBE Business Express

After viewing the MBE Business Express at the Delray Beach Marriott, I would like to make to make a comment and a couple of suggestions. Jon, would you be so kind to discuss the following with management and give me a reply?

The MBE Business Express I used had a 13" monitor. It looked small in relationship to the massive business center. A 17" or 19" monitor would accomplish 4 important goals.

# 1 The larger monitor would give the entire Business Express a more impressive, professional, appearance.

#2 The user would get more enjoyment out of their computer experience and have a tendency to spend more time on the computer thus extending the company's revenue.

#3 It would sell more merchandise by displaying larger advertisements.

#4 It would sell more IBM large monitors.

It is my opinion that USTT is giving IBM an opportunity that is greater than any trade show could ever give them. This is the opportunity for the traveling public to become familiar with their equipment. I would think that IBM would pay for the upgrade so that they could display their new 19" monitor in hotel chains throughout the country.

I would also make it impossible for the hotel staff to change monitors and take the larger monitor for their own use and replace it with a smaller monitor.

Regards to all,
Jim C.
