Dresdner Klenwort Benson said it downgraded the combined MCI WorldCom to hold from add.

-- MCI Communications Corp. MCIC and WorldCom Inc. WCOM agreed to merge in a $37 billion deal. The merger has not yet closed but some financial analysts have started issuing research reports tracking the proposed combined company.

-- Dresdner Klenwort Benson said it downgraded the combined company due to the run up in WorldCom's share price over the past two weeks. Said WorldCom's stock now is within 4 percent of Dresdner's year-end price target of $56 a share.

-- said synergies from the combined company will create "an extraordinary growth engince." Said revenues should accelerate at an annual rate of 14 percent 1998 to 2002, with earnings per share growth of 93 percent over the same period.

-- said WorldCom's leads the major long distance companies in the ratio of data sales to total sales.
