I may be wrong, but I thought a "Shareholder Rights" amendment went through about 1 1/2 years ago. In any case, if a buyer gets enough support, these poison pills can be overturned.

I believe the deciding factor would be AMAT's style. They seem to prefer friendly to hostile takeovers.

All I was suggesting was that the business may not be fully or fairly valued even with a large premium when the starting point is near the trough of an extremely cyclical industry.
