Do you know or think there are enough shares held by non-management to overcome management resistance if an offer is tendered publicly (like the recent Allied-Signal cash offer for AMP)?

According to Market Guide, Pair is 75% owned by institutions. As an aside, but leading to a point, I think institutions (who own 80% of Tellabs) had something to do with the rescheduling of the TLAB/CIEN shareholder meetings that had been set for this past Friday.

Likewise, these same institutions will want to maximize what they can get for their PAIR shares. If there were a public offer, I'd guess there would be discussions between PAIR management and some of the big institutional holders towards that end. Without significant institutional support, I don't see management putting a lot of effort into fending off a hostile takeover.
