Heyy Mike,
Good morning to you and all Shareholders ;).
Not a financial person careerwise so please forgive any mistakes:
Using shares for acquisitions/mergers: I expect this to happen with
a company this size, what I look at is what are the restrictions in terms
of those shares reaching the open market eg: a one year limit with
Company having first refusal rights to repurchase those shares. This
to me is great news as a shareholder, for during that first year yes there is a dilution albeit a "protected dilution". The Company is stating
that we have a positive outlook for our position 12 months out and are willing to buyback the shares to be retired or used for future M/A.
Conversly when a Company issues shares that have no or very limited
restrictions this to me is a red flag as it can indicate a perpetual game of catchup.
Convertables: Am wayyy sure that someone could explain them better
then I so won't even make a stab at, will say that I would prefer that existing shareholders be solicited for private placement prior to going
"out" of the Company again with proper restrictions and buy back
rights can be good for all those involved, if not, potentially a red flag.
