Have some info from re Plourde.

-top line revenue approx $5M. Bottom line approx 4-5% ($200K).
Gross margin better than 50% so they must have a very high SGA and R&D. In any case deal is accretive to earnings by about .01 per share.

-deal is being done on pooling of interest basis. $4.6M in stock swap but Plourde also has $1.3M in cash so the total cost to IVI is $3.3M.
On surface sounds like a good deal on a price to sales basis - getting the company for less than 1X annual sales. IVI should be able to at least double Plourdes earnings next year.

-Plourde will give ivi a larger customer base. They have strong relationships with IBM and NCR and many of the top 100 retailers.

-the Plourde software runs on Windows NT - IVI will avoid having to spend on R&D to develop their own software for this particular purpose now.

-IVI still plans the "roadshow" starting mid / late Sept. Also a analyst report from Robertson Stephenson (sp) is expected out mid Sept.

-Insiders have been buying on the NASDAQ.

Thats about it - now if only the stock would firm up!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!
