Craig, I think the reason is that many feel that the deal may be scuttled altogether, and that is reflected in the CIEN price. FWIW, I think that this situation may work out nicely for those of us who are long TLAB. As I have repeatedly said, the deal is being driven by the acquisition of Ciena's technology. Since the technology hasn't changed in the last few days, we are seeing the possibility of acquiring it at a much lower price. My guess is that there is still considerable acquisition premium in the Cien price and still some discount in the TLAB price.

Under this scenario, the combined entity has a capitalized value of roughly $14.4 billion. My guess is that we will be looking at an exchange rate of roughly 0.65, so there will be a total of 245 million shares o/s and the value of TLAB will be about $58.78 and the value of each CIEN share will rise to around $38.20

I don't know at what figure the deal will go through -- but I DO think it'll go through. IMHO the Street agrees. However, the Street is being very cautious with CIEN. 55% to 60%. But that figure will change as the true figure becomes clearer. If TLAB's management is smart -- which I believe they are -- the negotiations are probably occurring as I type.

If indeed 0.60-0.65 is proposed, then watch for another competitor to come on board and step up. 0.60-0.65 is a slap in the face.

I would like to ask you a question. This is slightly off topic. I am using this thread since most of this thread's participants seem to be very knowledgeable. My questions are as follows:

Whenever I received a form to join a class action lawsuit, I most of the time ignored it since I was often a current stockholder of that particular company. Am I foolish in doing that thinking that I was suing myself? Why do they often sue the company (including us unfortunate shareholders) instead of directly suing the officers who already profited from selling their shares early (before the public knew what was going on)?
