A limited liability company (LLC) is a sort of a hybrid between a corporation and a partnership form of entity. The LLC vehicle offers the personal shielding from liability which we enjoy as shareholders in a corporation but is generally much more flexible in terms of management, transferability of interest, tax matters, etc. The only downside I see is that LLCs are relatively new and the courts have yet to construe the law in many situations involving LLCs while there is a well developed body of law on corporations, parterships, LPs, etc. Predictability of outcomes is not as reliable.
