You've got to read this thing carefully to find the real reason for the filing. It concerns something we've talked about earlier. They violated an SEC rule for issuing stock under rule 504D. No more than $1-million can be issued in a one year period. They did that. This document makes their mea culpa and states their cure.

These offerings appear to exceed the limitation of said Rule of a maximum of $1 million in any one year period. TPI intends to file a registration statement offering rescission to the purchasers of these offerings.

Now, if they offer rescission, where are they going to get the bucks to reimburse these folks for the stock they will have to buy back? No wonder they're in a less than happy mood up there and have been too absorbed to talk to shareholders.
