Bill, I definitely agree I need a scanner and I have one but it doesn't work. If GRNO would pay off I would have a scanner that worked.

Before getting into Bill's response to the SEC suit, I want to go back to the suit against G&S and add some more information about the affidavit supplied by Richard W. Jones. Before doing that, I want to provide some of his qualifications from his resume, or as he calls it, curriculum vitae.

Experience, 1983 to present, private law practice in Atlanta consisting of representing clients in securities, corporate, mergers and acquisitions, partnership, and general business matters. Securities related experience includes public and private securities offerings, periodic reporting compliance, broker/dealer regulation and investment advisor regulation. He represents clients before regulatory bodies such as the SEC, NASD, Georgia Securities Division, and the American Stock Exchange.

1981 to 1983, he worked for the SEC in Atlanta as an attorney in the Division of Enforcement where he conducted investigations consisting of obtaining documentary evidence by subpoena and taking testimony of witnesses. Prepared legal memoranda advising the SEC of recommended action to be taken as a result of investigations. Represented the SEC in civil matters.

1979 to 1981, Ernst and Whinney, attorney in tax department.

He has a BS in Accounting, an MBA, and a Doctor of Jurisprudence from the U. of Tennessee (1979)

His professional activities include Hearing officer for the Georgia Commissioner of Securities

Special advisor to Georgia Secretary of State on Georgia Investment advisor legislation.

Regulatory Chairman and Member of board of directors of the Georgia chapter of the International Association for Financial Planning

There is a list of speaking engagements in which he spoke about IPOs, registration of a CPA as an investment advisor, Liability and ethical considerations of personal financial planners, and regulatory environment for CPAs offering financial planning services. He is an author of articles for professional publications.

He says he investigated the evidence and found that Mr. Anderson did not discuss Mr. Carraway's testimony prior to the SEC's investigative hearing and he did not review the documents produced by Mr. Carraway prior to their delivery by Mr. Carrraway to the SEC. He says that during the Fall of 1996 to the Spring of 1997 Mr. Anderson and Gambrell & Stolz were provided for their review GOE news releases which are alleged by the SEC to contain misleading and inconsistent information. Neither Mr. Anderson nor Gambrell & Stolz counseled GOE or its officers and directors about the legal implications of publishing such information.

He goes on to say that Mr. Anderson and G&S's failure to properly advise their clients under these circumstances is a deviation from the standard of care expected of a lawyer under the circumstances and constitute acts of negligence.

His affidavit was included to add weight and prestige to the suit.

I also think that the incredibly lax oversight by G&S over the 4 1/2 years of their employment caused a loose attitude environment at GOE that was detrimental to GOE and Bill Carraway. If they had been doing at least a minimal job, we would be in far better shape today. This SEC action in the Spring of 1997 came as a complete surprise to Bill.

I don't know whether the Federal court has approved the consent degree yet.
