Jim, Mr. Cadigan as expected is very upbeat.

He was very confident that the equity capital could be raised and
the initial response form several investors was positive.

It appears both Tamsco and SSGI are very anxious to complete
the merger. Due diligence on SSGI is done, and in fact was very
easy to complete given all the public information required by the
SEC as a Nasdaq stock. SSGI is still reviewing Tamsco but all
looks good so far.

My main concern was the ability to raise the equity and an attempt
to determine value (or trading range) for the stock when the merger
is completed.

I have been disappointed with the potential for 20 million shares outstanding. Malcolm believes they will not be part of float (I beleive info from his source indicates that) BUT I AM assuming
the worst.

To answer your question, Mr. Cadigan is very confident the merger will take place and is hopeful that it will occur before October 30.
