Dear Mitchell: For your convenience, the "best" of the initial 1200 CMND posts are reposted starting with #1196 and ending with #1218. Gives you the complete story.

According to Note 2 of the 10Q (June 30, 1998), the reason for the
registration problem was:

"Shortly before the effective date [of the IPO], the size of the
offering was increased by 300,000 shares plus an additional 45,000
shares to increase the overallotment option [granted to the IPO
underwriters]...While the increase in size of the offering was reflected in the final prospectus, a registration statement ... covering the additional 345,000 shares was not filed with the [Securities & Exchange] Commission. The Company intends to file a registration statement covering these shares."
