Always remember that reg s/d were the avenues of last resort for financing a company. If the company were well run or had good prospects, you'd have a host of legitimate sources lined up. In general the incompetence of management is a given once a company starts looking for this and these foreign investment firms smell the blood very quickly. The clever ones are the foreign entities that seem to have no faces but lots of cash. Off-shore corporations that often suggest ties to less than AAA characters. The CEO's are too public and occassionally wind up in trouble with the SEC-too late for the investors. The noble spirited financiers never have any problems. Curious.
