Trillion Resources Ltd. and Oliver Gold Corporation have agreed to a merger
of the two companies. Management of each company has agreed to actively
support the merger proposal which will be presented to the shareholders of
each company for their approval prior to year end. The merger, following
completion of due diligence reviews and the execution of definitive
agreements, will be subject to completion of an independent valuation,
receipt of fairness opinions and judicial, regulatory and shareholder
acceptance.
The exchange ratio will be determined following receipt of valuations and
the merger will be subject to the acceptability of such ratio to the boards
of each company.
The board of directors of the merged company will include representatives
of both Oliver and Trillion. The merger will combine the joint venture
interest of Oliver in the Segala gold project in Mali with Trillion's
interest in that project and the merged company will also hold interests in
the Ndarama and Jena mines in Zimbabwe.
As part of the merger negotiations, Oliver has agreed, subject to
regulatory approval, to lend to Trillion $500,000 for short-term working
capital purposes, such amount to be secured against Trillion's interest in
the Segala gold project.
