Terry,

Many thanks for the information that you have provided us and the efforts that you have put into this endeavor for ALL of us. It will take me a while to digest what you have written and I will never understand it all, but it is a hell of a lot more to go on than we have had in the past! Just wanted to let you know I am out here and very appreciative of the work that you have put in, especially under what are not always the best and most encouraging conditions. So often it is "damned if you do and damned if you don't."

Terry Well done and Thanks. Well explained,except on the exchange of
assets, which I queried Smith about this p.m.

In fact, ESVS IS PAYING for the assets it acquires which are the shares it owns of SIM(Now Zulu-Media), and Echo-media, it is issuing
preferred shares in a tax free exchange.

the deal will be fully consumated with preferred, the delay is only in
getting regulatory approval to issue the common,underlying the preff..
and register said shares which will be in 60/90 days.

This allows the company to function as one immediately.
