Alcatel cleared by Justice Dept. to acquire DCS

DALLAS, Sept 4 (Reuters) - French telecom company Alcatel
said Friday the anti-trust division of the Department of
Justice had approved its acquisition of telecommunications firm
DSC Communications (NASDAQ:DIGI) Corp.
The acquisition, a stock deal was announced on June 4 and
is expected to close shortly.
The boards of both companies have voted for the
acquisition.
DSC has redeemed all of the preferred stock purchase rights
issued to holders of DSC common stock at the redemption price
of $0.01 per right, payable in cash.
Under terms of the agreement, DSC shareholders will receive
0.815 of Alcatel ADS, representing 0.163 shares, for each DSC
share.

Alcatel Receives U.S. Approval To Acquire DSC Communications

DALLAS -(Dow Jones)- French telecommunications-systems maker Alcatel
Alsthom Cie. Generale d'Electricite said Friday it received antitrust
approval from the Justice Department to acquire DSC Communications Corp
for $4.4 billion in stock.
In June, Alcatel (ALA) and DSC Communications (DIGI), which makes
networking products, agreed to merge in a stock swap. Closing of the
deal is anticipated to be completed promptly.
DSC Communications redeemed all of the preferred stock purchase
rights issued to holders of DSC common stock at the redemption price of
one cent per right, payable in cash.
Dallas-based DSC had been the target of fervent merger speculation,
with Northern Telecom Ltd. (NT), Siemen's AG and L.M. Ericsson Telephone
Co. (ERICY) all cited as possible buyers.
