Transaction Network Services, Inc. Acquires TAS Business From AT&T Business Wire - September 10, 1998 14:56 RESTON, Va.--(BUSINESS WIRE)--Sept. 10, 1998--Transaction Network Services, Inc. (TNS) (NASDAQ:TNSI) announced today that it has acquired selected assets of AT&T's (NYSE:T) Transaction Access Service (TAS) for $64 million in cash. Under the terms of the agreement, TNS will perform AT&T's services under its thirty-nine (39) existing TAS customer contracts, and will acquire certain TAS network hardware. The TAS customers include some of the largest transaction processors in the U.S., including three of the top five. The agreement is effective today and TNS will begin to recognize revenues from these contracts immediately. The migration of transactions from the TAS network to the TNS network will take place over the next six-to-nine months. It is expected that TNS' Point-of-Service (POS) transaction volume will double as a result of the acquisition, from 240 million monthly transactions to approximately 500 million transactions per month. "This acquisition clearly positions TNS as the leading provider of transaction transport services in the U.S.," said TNS president and CEO John J. McDonnell, Jr. "TNS will gain approximately thirty new customers in addition to increased traffic from a number of existing TNS customers. We are eager to migrate the TAS customers to our network as quickly as possible and will do whatever we can to ensure a smooth transition. We believe that our new customers will be very pleased with the quality of network performance and customer support that TNS will provide to them, and we look forward to extended working relationships with all of them." "Ensuring that our customers would receive the same kind of excellent service we've been committed to providing is our top priority," said Robert F. Jones, electronic commerce services vice president for AT&T. "We're very confident that our customers are in good hands with TNS," Jones said. In addition, TNS has signed a multi-year service agreement with AT&T with competitive prices for AT&T's carrier services. "Not only will TNS be able to recognize cost savings of its own, but the POS division will be able to offer its customers greater network diversity and redundancy through the new AT&T relationship," stated Brian Bates, senior vice president and general manager of TNS' POS division.
