Mindspring says to buy AOL's SpryNet

ATLANTA, Sept 10 (Reuters) - Internet service provider MindSpring Enterprises Inc. said on Thursday it has agreed to purchase America Online's Sprynet
subscriber base and assets for $35 million to $40 million in cash.

MindSpring said the Sprynet subscriber base consists of about 180,000 individual Internet access customers in the United States and Canada. It also bought various
assets used in serving those customers, including customer support and network operations facilities in Seattle, Wa.

AOL acquired Sprynet in February 1998 when it took over CompuServe Interactive Services Inc.

MindSpring said it also acquired all rights held by AOL to the "Sprynet" name, as well as selected software and equipment.

Charles Brewer, MindSpring's founder and chief executive officer, said in a statement the acquisition "helps MindSpring continue on our quest to become a major
player in the telecommunications industry of the future."

MindSpring said it expected to pay America Online between $35 million and $45 million in cash in this transaction, with the final amount to be determined by the
number of subscribers who make the transition to MindSpring's service.

The company said it expected the transaction to be completed later this fall, subject to certain customary closing conditions

Novell, Inc. today announced an agreement with Microsoft Corp. to license and distribute all current versions of Microsoft's premier Web browser, Internet
Explorer, with Novell products. This agreement includes NetWare 5, Novell's directory-enabled and pure IP platform that provides the speed, scalability, and
reliability that companies require to manage and deploy network applications and resources. The agreement provides Novell customers with more flexibility and
freedom of choice in how they interface with the Web.

Internet Explorer will be available for all NetWare customers as part of a regularly updated client CD; the Web browser will also ship with future versions of Novell
products including NetWare 5. While it will not be included in the initial shipment of NetWare 5, Internet Explorer will be included in the box in the near future.
Netscape's Communicator will continue to ship with Novell products, giving customers a choice between the industry's two leading browsers for navigating the Web.

PROVO, Utah, Sept 9 (Reuters) - Novell Inc. , which provides computer network software, said on Wednesday it agreed to distribute Microsoft Corp.'s Internet
Explorer, the software giant's web browser, with its products.

This agreement includes Novell's NetWare 5, its directory- enabled and pure Internet protocol platform that allows companies to manage and deploy network
applications.

Internet Explorer is the subject of a landmark antitrust suit filed against Microsoft by the federal government and 20 states.

Microsoft is accused of using its Windows system monopoly, the crucial operating software on over 90 percent of the world's personal computers, to seize control
of the lucrative software market for Internet browsers.

"When 90 percent of the Web browser market is owned by either Microsoft or Netscape, it just makes sense to give customers both Web navigation options," said
Christopher Stone, senior vice president, strategy and corporate development for Novell, in a statement.

Novell's products will also continue to include Microsoft rival Netscape Communication Corp.'s Communicator web browser.

Intel sees strong Q3 sales

SANTA CLARA, Calif., Sept 10 (Reuters) - Chip maker Intel Corp. said Thursday it expects third-quarter revenues will be 8 percent to 10 percent above the
second quarter's $5.9 billion due to strong demand in North America and Europe.

The world's largest chip maker said in July it had expected third-quarter sales to be flat to slightly higher than second-quarter levels.

The company said, in a statement, third-quarter gross margins are expected to be a couple of points above the second quarter's 49 percent. The improvement in the
gross margins represents the effect of write-offs for improving manufacturing efficiencies and Intel's previously announced job cuts.

The company said it sees gross margins for the full year of 52 percent, plus or minus a few points with a long-term expected gross margin of slightly above or below
50 percent.

Intel said it expects expenses for the quarter to be about 7 to 8 percent higher than second-quarter expenses of $1.3 billion. Intel previously said expenses could rise
by 3 percent to 5 percent from the second quarter.

Research and development spending is expected to total about $2.8 billion for 1998 while third-quarter interest and other income should be about $170 million, up
from prior guidance of $145 million. Intel said capital spending for 1998 is expected to be about $4.5 billion to $4.7 billion, flat to slightly up from $4.5 billion in
1997.
