1. Intel feels sorry for them.

2. Intel recognizes that poor management is most likely responsible for the bulk of Cyrix's "less than flawless" execution and that Intel can help the careers of these engineers.

3. Hiring away good engineers from Cyrix is a good defensive move for Intel - nothing like legally hurting your competition.
