I think I can answer #2.
I believe if they don't have the money to pay, or cover or whatever, the SIPC steps n.
However, I also think that the SIPC determines what a fair price would be, and then settles the case for that amount.
You may want to look to the SIPC for a clarification.

If I can find where I found this idea to begin with, I'll post the site.
