GREAT NEWS!!! Form 10 was filed and can be found on Edgar. I haven't had enough time to digest all the details but some important features that I've noted are as follows: 1. Financials for both companies, AVIA and POKR, are listed. One of the great unknowns in the recent past is AVIA's assets. I'm not an accountant-sort, so forgive me if I misstate some of the data. It looks like AVIA has $1M in cash and the shareholders' equity is $6.85M. 2. There are about 18.345M POKR shares which are valued at nearly $12M. This calculates out to .6538/share....certainly considerably higher than current trading value. 3. In the merger deal, stock option conversion rates for the principals range from $1.20-1.80 per share for the merged company. The significance of this for me is that the merged company stock should be worth considerably more than that for the stock options to be of any value. 4. An investment banking firm, Joseph Charles an Associates, was named as having a 5 year warrant for 600k+ shares of the merged company at $2.10. Presumably, this will be an additional cash infusion for the Company for future growth plans. Since the Company has recently acquired Corporate Travel and Magnolia (bus company), infusion of more money from Joseph Charles portends more acquisitions. Gross revenues are around $50M/yr now. As the company gets larger, the investor audience will grow as well. There, of course, is a lot more that can be found in the documents. The importance of the Form 10 for me is the confirmation that the merger is on course and that both the POKR and AVIA stocks are significantly undervalued. My feeling is that we will finally start to see our long term investment to finally pay off. A reporting company is viewed in a much more secure light by most investors.
