If insiders convert their 144 stock to preferred stock, they thus apparently negate the restrictions incumbent in Rule 144 reference the sale of such stock.

Rescinding the 144, and providing a completely different class of stock in exchange, ie: preferred convertible, may provide an opportunity for insiders to convert new preferred into new unrestricted common shares.

Can you prove this theory wrong? Show me where there are restrictions on the conversion and sale of common stock exchanged for preferred?

I don't think you can, and neither do you. Isn't that right?
