It looks like the company planned to completely restructure at that time. But isn't it possible that given the bad press, etc., that it switched gears on the CEO decision, thus making Lair a CEO to help throughout the crisis?

This could be interpreted that Zulu already had ESVS on the horizon and that an integration strategy would follow once Zulu was restructured, under the auspices and operation of ESVS. Perhaps they never intended on having a real CEO until ESVS and Zulu inked the deal to move forward as one entity onto Nasdaq.

This could explain some of your difficulty in tracking down Zulu officers. It seems that their sights, way back then, were set upon merging with ESVS, then appointing a longtime CEO and moving foward. And since ESVS became the operator of Zulu, this would explain why there were lapses with respect to the Utah incorporation.
