PartyTime: What would happen--and several of the folks on the thread have asked about this--if the ESVS shareholders didn't approve the deal?

Pat Hayton: How can that happen? The people who want to do the deal control both companies. That isn't going to happen.

PartyTime: Well, what about if the SEC doesn't approve it?

Pat Hayton: Once the shareholders approve this, it'll be a formality for their approval.

PartyTime: You mean like a rubberstamping?

Pat Hayton: Yes, they tend to support what the shareholders want to do so long as it fits into their guidelines.

The above is not verbatim, but it is the gist of that portion of our conversation. So it's not a fear of ESVS muddying up the deal. If anything, in my opinion, the only thing that could delay the deal is if certain unforeseen conditions don't pass muster with the SEC. But they do have lawyers to see to that, of course. In which case, were the SEC to have additional concerns, I'd certainly think the companies would adjust accordingly.

You folks have to realize that they want to get the show on the road. They want to finish the construct of the core of the business. They want to, down the road, publish press releases of new clients; they want to begin doing the dog and pony shows at national and international conventions.

They want to be the real deal. Why? Because that's where the big money is at. These folks want to open a peanut shell and find three, not two, penauts inside. But they want to do this on Nasdaq, which is where the doors open for institutional and brokerage-like investments. The fallacy for many of us, is that we wanted to find three peanuts inside an OTC:BB shell.
