It does, Ken.

10,000 Zulu = 1000 ESVS.

I hold 22K Zulu. Converted, that's 2200 ESVS. If ESVS trades up to $20, Hayton's projection by early '98, my portfolio will show: $44,000. I can live with this.

Okay...so where does the 10-1 come into play? Does that remain constant no matter where the price goes?

The 10:1 was pre-determined at some point in time when this agreement was set in place. In the announcement you can see that the portion of the purchase that affects stockholders is the transfer of preferred shares that will be converted into 5.2MM common shares of ESVS. These will be distributed to shareholders in exchange for their 52MM shares. That is where the 10:1 is derived from. It is not tied to price at all.
