I also think it's 35 investors, based on the 1933 sec act.

This should in no way be taken as supportive of that man's statement, but rather as a means to better understand the rule 504.

504's can be in one or more than one. 35 is the maximum for "non accredited investors" depends on blue sky in some states. Call the transfer agent on total shares now outstanding and the status of free trading. the t/a can give you that information right over the phone. Also ask for an updated 15 (c) 2-11, they have to have one if a current 504 exists.

Always a glitch with these things if not checked out completely.
