Your logic seems irrefutable.

And while I was grousing about how I felt insiders might be attempting to circumvent 144 selling restrictions by exchanging their common for preferred stock (to later convert it at unknown ratios into the new common), I hadn't thought about the legalities of granting themselves rights that other common holders wouldn't share.

However, since AZNT apparently is calling all of its old stock to exchange for new, I'm wondering if their some legal loophole that could be exercized that would circumvent the above problems.

Any former (or current SEC) attorneys out there perusing this thread care to pipe in and help out on this??
