Mark,

I wouldn't expect to see the SB-10 on Edgar by Wednesday. For some reason, there is usually a delay between actual filing and its appearance on Edgar. So, the filing may occur by the 23rd, but it may not show up on Edgar right away. Further, there is the possibility, as Laz and RM pointed out, that it could be returned by the SEC for revisions. I understand your concerns; I have them as well, but I'm not willing to draw a line in the sand at this point. I'd like to give the company a chance to follow through.

Rick

Mark... you bring up some good points...

>>if DGIV is cannot follow thru on this electronie filing, whatever problems with their last minute changes, by Wed. then I they blew their chance at drawing in institutional investors at this conf<<

Yes, it would be the loss of a big opportunity, IMO.

>>JC set they deadline and I think it's critical for them to follow thru on this.<<

Once again, I can't argue with that statement, it mirrors my own opinion exactly. But again, IMO, what's at stake is the investor / management relationship.. the trust that has so painstakingly been cultivated.

Now comes the question about whether it might have been filed and rejected or not filed at all. The former represents a missed opportunity, the latter a shift in the perceived fundamentals of the company... and not to the positive, I might add.

Lastly,

>>If, for some crazy reason or another this 10-SB is now out on time, heads will roll at DGIV.<<

I don't know. I know I would (in my mind) hold Jimmy responsible for either a failed filing or no filing at all, but I hardly think he would lose his job over it :-)

Nor do I think that appropriate.
