Sal and all,

I haven't exactly pored over the S-4, but at first glance I don't see the details of how the new notes (series B) differ from the old notes. Same rate, same due date. If I recall, the only other variables had to do with conversion. Am I not paying attention here?

Also, the cynic in me can't imagine terms that would induce current holders to exchange and be beneficial to me the common shareholder. If there is some creative financial genius at work (that would truly result in everyone winning, in particular me) behind this restructuring, I'd appreciate a sketch of the effect.
