Yagnesh,

I don't know if the numbers Yahoo gets from CDA/Investnet include securities underlying options. For example, all of the shares Schacht sold were options he exercised, according to Yahoo. Then when it says he only has 50,000 shares left, I don't know whether that means he's holding only 50,000 shares in both unrestricted common shares AND optionable shares, or whether it doesn't include options.

I would think that a senior executive might want to shed some shares in anticipation of, oh, say a 3-for-1 stock split. Maybe this is a good way for him to get cash, thin his shares in the company, and get a relative tax break to boot.

It is hard to believe that he only holds 50,000 shares, total, in LU.

Mark

Yagnesh,

I looked at the insider sales. I am no expert, but it looks to me like he was just trying, like Patricia Russo, the VP who sold around the same times, to lock in some option profits. You can see that they peaked a little above $100 at the beginning of this year and have been dropping since. The insiders have probably anticipated the bear market and locked in money that is part of their compensation. They always exercised the options and then sold them. Given the gloom and doom forecasts that some people have had during our peak markets, "a good thing can't last forever", they were just protecting their income. The insiders probably also knew that there were some problems which might jeopardize their bottom line predictions, like PCC, and hedged their bets.

That's my story and I'm stickin' to it. For now.

Stay in the Black! jimS ( a VERY minor shareholder )

Why did the Chairman sell all his shares? I am sure he has options for many more!

Henry Schacht is no youngster. Did he not come out of retirement to run Lucent when it IPO'ed?
