Dennis,

As you know, this was a confidential deal and we may never really know the exact terms. Especially considering Starfish was private. The terms related to me included personal forward incentives to Kahn, but keep in mind, Motorola wasn't very interested in the consumer PC software end where a good portion of the firms value was. However, that said I understand that Starfish only sold something like 10-15M total software copies sold during 1Q98 for an estimated gross of somewhere around $500-750K.

Motorola was interested in the Rex and Palm end where they feel they can now control the other harware competitors because of the acquired software. Good move, but tricky to value considering the rev's from this segment where just in the infancy. With this all in mind, 10MM doesn't sound too out of line.

In as far as Dellie was concerned, I would venture to guess that it was more the past Kahn / Borland connection more than the compensation angle they were look for a sound bite on. I dunno.

Keep in mind, I'm certainly no Starfish nor Kahn expert, just trying to recall a conversation of a while back with my neighbor...
