Looks like the Internet stocks are back in favor. AOL, Yahoo, Lycos, etc all having a great day. Too bad we don't have some news or excitement that will allow us to participate in this rally.

I'll take a "sympathy" run anyday of the week!

RACE is almost a mirror image of FTEL in many ways, including the issuing of convertibles.

The name of the financial instrument is not as important as what the financial instrument does. Other companies may have different names, i.e. Series JJK, but the idea is the same.

I am not saying private placements are bad. Many companies would never be able to grow or survive without private placements. The buyers of the placement often take large risks and should get compensated above average. However, as an owner of a stock which has a private placement, which often involves convertible stock, etc, one should be very aware of these matters as conversions can make the stock drop hard while they are being absorbed.

Often, during the conversion period, a company will issue some nice sounding press release to generate interest in the company so the convertibles will be absorbed more easily.
