Yes. This is very interesting, is it not? Such a FUSS is being made about "invalid shares". Does it not appear that the company is in fact admitting to having, well, let's say "improperly", sold unregistered securities?

Note also the reference to the "private placement", and remember that, although the company seems to allege that it gave the shares in question to Andy Mann to accomplish just such a PP and that Mann subsequently made off with 'em, the company did not at any time file notice with the SEC of its intention to make such a private placement.

So what REALLY happened here?
