For those interested in status of share buyback/ purchases

I will
mention that recently several form 4's were filed as well as a 13D. One of
the Form 4's was filed for the sale of 238,000 warrants by Amos Aharoni to
Richland who subsequently exercised them and went on to buy an additional
400,000 shares in the open market. Hence the recent 13G filing by Richland
for 618,170 shares or 7.24% of the common stock on August 14, 1998. What
is interesting on this Form 4 is the Explanation of response: *Mr. Aharoni
transferred these warrants to two corporations who immediately exercised
all 238,000 warrants. Mr. Aharoni will be compensated for these warrants
in June, 1999 based on 50% of the difference between the warrant exercise
price and the average bid price of the underlying share of Actrade in June,
1999. The shares received upon the exercise of these warrants were
"restricted securities" as defined under the Securities Act of 1933. The
other Form 4 was filed by NTS Corporation (controlled by Amos Aharoni which
shows 2,345,549 shares in the 1998 Annual Report on Form 10-K). This was
for a total purchase of 208,000 shares at $14 per share which increases the
total ownership of NTS to 2,553,549 shares.
