I guess today's drop was justified assuming the following:

Shares o/s:

Before acquisition: 161,186,000
After acquisition: 179,986,000

Share price before announcement: approx $17

Using the same market cap as the day before I get $15.22 a share. Close to the ending price. If you assume they can buy back 2 million shares with the $40 million bucks (and assuming this doesn't reduce the value of the entire company) then you get $15.40 per share. I think that the shareholders don't see much value in this acquisition...
