NEW YORK, Sept 29 (Reuters) - BT Alex. Brown said Tuesday it cut its rating on BEA Systems Inc. to buy from strong buy.

--The firm also cut its ratings on retailers Eagle Hardware & Garden Inc. and OfficeMax Inc. both lowered to market perform from
buy. -- OfficeMax shares fell 5/16 to 10-3/4. -- Eagle shares fell 1-1/16 to 21-7/16. -- BEA shares fall 1-3/4 to 21-1/4

Bea has known for some time that Java was growing concern of the customer base they serve. They have implemented Enterprise Java Beans in the Java front-end to Tuxedo (Jolt) however the need still existed to interface with application servers. Many Professional Svc projects which BEA is involved in supported interfaces to Kiva and WebLogic, further pointing out this unmet requirement and opportunity.

The acquistion of WebLogic leap frogs the competition in providing a complete solution for mission critical web commerce. BEA has proven that they are in a solutions business and has grown emensly because of it.

In terms of development, BEA has a brain-trust in the technologies it has acquired. The original development teams have always been kept in tact. The infrastructure of BEA was overbuilt from day 1 in order to absorb the additional technologies.

The growth area in the company is in Sales and Distribution. If BEA can position for the technology tornado then its challenge is in developing the channels to push the technology forward. BEA has carefully grown its distribution through acquistion as well...TOP END gave them more distribution power and dramatically increase their market share.

I think that BEA is still an acquisition candidate for IBM or Oracle.
IBM stands to gain dominance in a market they are surviving in if not losing. The economy of scale is tremendous.
