Zonk, there is an unreasonable clause which applies to restricted shares, which in some cases companies can use to their advantage. This does not directly answer your question but may apply.

Let's highlight the release differently.

Amazon Natural Treasures, Inc. (OTC:BB AZNT) today requested that all
shareholders immediately return directly to the Company their restricted share certificates which will be reissued with a new CUSIP number and a five percent (5%) stock dividend.

The Company will perform the new issuance of stock in-house. <ggg>

the shares are reissued with its X date on it and attached to it is the dividend (restricted) shares, a dividend that the company declared in a news release awhile back . its not a loophole its the new company certificate with the new cusip number on it nothing more and the date the stock was issued is good until the legend is lifted the dividend has a one year hold.
