They have every incentive to do so: Stock options.

Please explain how Lucent management will benefit by knowingly misrepresenting the company's financial situation. Unless they're cashing in their options like crazy right now, they don't stand to gain anything in the way of options revenue if their subterfuge is discovered and the price of the stock falls below the option price (not that it would probably drop that low in any case).
