I don't know what Swedish takeover laws are, specifically, but I can say this. The U.S. is about the only country in the world in which a large company can be taken over by another company, not to mention a foreign company, without the target management's consent. Other than in situtuations of extreme financial distress, anyway.

Hostile takeovers are a uniquely American phenomenon. Almost.
