(“Elliott”) and Westgate International, L.P. (“Westgate”) each purchased US$1,250,000 of 7% Convertible Unsecured Subordinated Debentures due April 1, 2002 (“Debentures”) of Dayton Mining Corporation (“Dayton”). The purchases were made through the facilities of The Nasdaq Stock Market. Each Debenture is convertible at the option of the holder into common shares of Dayton at a conversion price of US$6.36 per common share, or 157.23 common shares per US$1,000 principal amount of Debenture. Following the acquisitions, Elliott and Westgate, together with Manchester Securities Corp. (“Manchester”), a wholly-owned subsidiary of Elliott, beneficially hold 4,870,675 common shares or approximately 11.808% of the outstanding common shares of Dayton on a partially diluted basis, including the 393,075 common shares which they are deemed to hold as a result of the acquisition of the Debentures. Each of Elliott and Westgate has purchased the Debentures in the ordinary course of its trade or business of purchasing, selling, trading and investing in securities. Depending on market conditions and other factors that it may deem material, each of Elliott and Westgate may purchase additional Debentures or common shares of Dayton or may dispose of all or a portion of the Debentures or common shares of Dayton that it now beneficially owns.
